Transaction support for Hong Kong licensed companies, Gold Exchange membership and related registered entities. First clarify the transaction parties and regulatory conditions, then discuss price and settlement.

Hong Kong Financial Compliance Service Scenarios

THE TRANSACTION PATHWAY

From objective assessment to post-completion compliance

A licence generally cannot be freely transferred separately from its holder. An acquisition does not mean exemption from review or automatic approval to add new business activities.

01

Objectives and Structure

Confirm the business scope, actual shareholding or membership rights, licence conditions and buyer requirements.

02

Due diligence

Verify regulatory registrations, historical liabilities, capital, client assets, tax and litigation.

03

Approvals and Agreements

Clarify regulatory approval, directors and personnel, funding arrangements and contractual conditions precedent.

04

Completion and Continuity

Complete changes, file and authority handovers in accordance with approval conditions, and continue to meet compliance obligations.

BUYER READINESS

What should buyers prepare first?

  • Business model, customer locations and proposed products
  • Ultimate owners of shareholders, control chain and source of funds
  • Capital and ongoing operating budget, not just the acquisition price
  • Succession arrangements for business leads, directors and key personnel
  • Acceptable historical liabilities, completion timing and conditions

SELLER PREPARATION

How Should the Seller Prepare for the Transfer?

  • Full status and restrictions of public registrations, licences or memberships
  • Disclose audits, regulatory correspondence and outstanding matters truthfully
  • Boundaries for the transfer of client assets, business contracts and records
  • Change-of-control clauses in banks, exchanges and major contracts
  • Shareholder authorisation, confidentiality arrangements and phased access to information
Enquire About Sale Arrangements
“First check whether the existing business can be continued, then consider whether the acquisition is worthwhile. A low price does not mean low risk, and having no current business does not mean there are no historical liabilities.”Tang Shangyong (Drew) · Practical notes on transaction readiness

Public pages do not display unverified inventory for sale, prices or claims of guaranteed completion. Old sale listings may be used only as leads to historical cases; whether they remain available, their prices and terms must be reconfirmed in writing by the parties concerned.
01Is an acquisition faster than a new application?+

Not necessarily. Due diligence, approval of changes in control, continuity of key personnel, capital and bank reviews may all affect the timeline. Market transfer arrangements cannot be used to bypass regulatory requirements.

02Can shares be transferred first and regulatory approval obtained afterwards?+

This should not be treated as a blanket rule. Where prior approval is required, completion should take place only after the required approval has been obtained; other matters follow the specific statutory notification or registration procedures.

03Does RGYS hold all listed assets?+

No. Rengangyongsheng (Hong Kong) Limited is an independent service provider and may provide matching, coordination and professional support. It should not be understood as the owner of every target company, a regulatory authority or a guarantor of transactions.
