HONG KONG GOLD EXCHANGE · PRACTICAL GUIDE

Hong Kong Gold Exchange Membership Rights

Acquisition of membership rights, share transfers and trading eligibility: first verify identity and business permissions.

Hong Kong Financial Compliance Service Scenarios

As at November 3, 2026, an acquisition should separately identify ordinary membership, shares in the Hong Kong Gold Exchange, electronic trading participation status and registered refiner interests, and verify the approval and effective conditions applicable to each. The Exchange took over the historical business of the former Chinese Gold and Silver Exchange Society on January 1, 2025; forms using former names must still be checked against current documents before use. This project concerns an application or transfer arrangement for exchange membership rights, the relevant shares and registered smelter status; it is not a general gold-trading licence issued by the Hong Kong Government. There is no statutory requirement for all spot-gold traders to join an exchange, but those meeting the Customs registration threshold must register separately.[2][9][10]
Capital Requirements / Non-Advisory FeesThe official ordinary membership transfer and refiner transfer checklists both specify issued and fully paid ordinary share capital of at least HKD 5 million and net assets of at least HKD 5 million. They also require prescribed liquid funds of at least HKD 1.5 million, excluding client money. These three amounts are not simply added together to determine the acquisition price; the purchase price, fees and product margin should be budgeted separately. [3][4][5]

01 / BUSINESS SCOPE

Business Scope and Application Value

As at November 3, 2026, an acquisition should separately identify ordinary membership, shares in the Hong Kong Gold Exchange, electronic trading participation status and registered refiner interests, and verify the approval and effective conditions applicable to each. The Exchange took over the historical business of the former Chinese Gold and Silver Exchange Society on January 1, 2025; forms using former names must still be checked against current documents before use. [1][2][4]

  • Members may use the exchange’s precious metals trading, inter-member clearing, and settlement services in accordance with their approved business status and product scope. The products that may actually be traded must be checked against the relevant lists and approvals; ordinary membership must not be promoted as granting electronic trading access to all products.[1][6]
  • An approved electronic trader may obtain a transaction code for relevant transactions under the exchange's system, enabling clients to check registered transaction information. However, the code's price checks do not mean that the exchange has verified the truth of all reported information, nor that it settles transactions or guarantees funds on behalf of clients.[9]
  • Registration as a refiner and approval of specific delivery bars help physical gold businesses align with the exchange’s accepted gold bar types and settlement arrangements. The value of such status depends on the brands and specifications actually approved and on ongoing conditions; it must not be represented as a globally applicable certification for all products.[5][7]
  • The exchange's public channels for checking members and registered personnel help counterparties verify a company's actual identity, business status and personnel qualifications. Public-facing materials should use the accurate legal entity name and must not use a group brand or a similar name to misrepresent the company as a listed member. [6] [8] [9]
  • Acquiring an existing member company may allow some business, personnel and supply-chain arrangements to continue after contract terms permit and approvals are completed, but it also entails the company’s existing risks. Whether bank accounts, customer contracts and credit facilities remain valid must be confirmed separately with the relevant parties; continuation cannot be guaranteed.[3][13]
  • For gold trading, recycling or minting businesses, membership may form part of their trading channels and business capabilities. Commercial returns depend on clients, transaction volumes, costs and risk management. Official documents do not offer fixed returns, capital preservation or appreciation, or a government credit guarantee.[1][9]

Transfer of Ordinary Membership Rights

Obtaining the rights associated with ordinary membership is suitable for an enterprise seeking to enter the exchange’s business ecosystem. The exchange’s shares, current operating status and eligibility to participate in trading must also be identified. Ordinary membership does not automatically include the rights to act as an electronic trader or mint, or trading rights for all product categories.[2][3][6]

Capital and Requirements:The 2025 ordinary membership transfer checklist specifies paid-up ordinary share capital and net assets of at least HKD 5 million each, and liquid capital of at least HKD 1.5 million; shareholder funding proof and fees are also required. These thresholds are not the membership transfer price. The specific eligible assets and additional conditions must be verified.[3][14]

  • The transferee must be a Hong Kong limited company and apply using the nomination, admission, membership information and personnel forms, submitting proof of funds, audited accounts and resolutions. The manager must meet the requirements concerning directors, Hong Kong identity cards, registration and full-time employment, and is subject to vetting. Submission of all documents does not guarantee approval.[3][19][20]
  • Continue to meet financial, audit-filing, fee and personnel-registration requirements, and do not conduct transactions outside the approved business scope. Changes to shareholders, the ultimate holding company or directors must be handled through the applicable procedures; the fact that the original legal entity’s name has not changed does not mean that approval for a change of control can be disregarded.[3][6][8][13]

Ordinary membership with the rights of a gold group / registered mint

The official information service lists ordinary membership together with Gold Group rights as a separate option, suitable for businesses seeking to combine membership status with capabilities related to physical gold bars. The contract should confirm how the original rights, Exchange shares and registered mint certificate fit together; they should not be subsumed under a vague description such as a higher-level licence.[2][3][4]

Capital and Requirements:The applicable checklist still specifies HK$5,000,000 in paid-up ordinary share capital, HK$5,000,000 in net assets and HK$1,500,000 in liquid capital. The HK$165,000 fee for transferring all members’ interests and the HK$55,000 fee for a separate transfer of a minting manufacturer are for different routes and must not simply be added together in a quotation.[3][4][5]

  • In addition to the general membership review, verify the mint’s certificates, certificates for recognised delivery bars and the specific products actually recognised, and confirm whether there have been quality complaints or restrictions on the rights. The transferor must clear outstanding amounts in accordance with the rules and arrange the undertaking deposit. The return of specific certificates and conditions for effectiveness should be set out item by item in the completion checklist. [4][5][7]
  • Manage member transactions and assaying obligations at the same time, retain evidence of batches, gold-bar marks and delivery and settlement, and maintain the relevant personnel and financial conditions. Assayer status and business status are separate dimensions; obtaining assayer rights does not mean that all electronic trading permissions have taken effect.[5][6][7]

Taking over registered refiner / gold group rights as an existing ordinary member

The official membership application guidance limits this information-services category to existing ordinary members, as an additional-benefit pathway. It is subject to separate approval based on the registered assayer transfer documents. Verify registered status separately from the actual scope of approved delivery brands and specifications.[2][5][7]

Capital and Requirements:The transfer checklist for a registered refiner requires paid-up ordinary share capital and net assets of at least HKD 5 million each, and liquid funds of at least HKD 1.5 million. The buyer’s handling fee is listed as HKD 55,000. The seller must separately pay a HKD 500,000 undertaking deposit, held for one year and refunded subject to conditions; this must not be confused with the buyer’s share capital.[5]

  • The transferee must be a Hong Kong limited company with at least two bank accounts, one of which is the designated bank settlement account, and must submit the final shareholder declaration and business plan. The seller must return the refiner and, where applicable, completion clause certificates, settle outstanding amounts, and the parties’ managers must complete the transfer in accordance with the approved procedures. [5]
  • Submit audited financial statements each year in accordance with the checklist, maintain the required financial arrangements and segregation of client funds, and continue to control quality in line with the product types actually recognised. Confirm the required procedures in advance if there are changes to production, control or trust arrangements; approval of one transfer should not be treated as permanent product recognition.[5][7]

Recognised electronic trading participants and corresponding trading participation eligibility

Electronic trader status is a separate business qualification recognised by the Exchange. Only members may be recognised, but membership does not automatically make a member an electronic trader. Verify the current permissions for the products in which you intend to participate, such as London gold and silver or RMB kilogram bars; do not confuse this status with refiner status.[6][9]

Capital and Requirements:The applicable member financial requirements must first be met, and the margin and system fees for the products intended to be traded must also be checked separately. A 2021 legacy table listed HKD 200,000 for London gold and HKD 500,000, or the equivalent in gold, for RMB kilogram bars; these figures should not be treated as uniform current quotations for all categories in 2026.[3][21]

  • Submit the business model, internal controls, standard customer agreement, settlement account and system arrangements in accordance with the latest participation requirements, and complete the relevant trader registration and training. A customer-facing platform is not a platform for exchange participants. Purchasing software or having legacy login access does not replace eligibility approval. [8][9][18][21]
  • Make transaction reports in accordance with the rules, keep client and company funds separate, perform reconciliations and risk monitoring, and ensure personnel registrations and security deposits remain valid. A trading code does not mean that all client orders are routed to the exchange, nor may it be promoted as an exchange guarantee of the safety of members’ funds.[8][9]

Transfer of Hong Kong Gold Exchange shares and separate share interests

The official information service lists Hong Kong Gold Exchange shares separately; these must be distinguished from the equity of a company holding membership. The relationship between shares, membership status and trading participation rights is subject to the relevant articles, transfer checklist and case-specific approval. It cannot be assumed that purchasing any shares automatically confers trading rights. [2][4]

Capital and Requirements:The publicly available MEM-002 list of share transfers involving members requires the transferee company to have paid-up ordinary share capital and net assets of HKD 5,000,000 each, and liquid funds of HKD 1,500,000. If only shares without membership rights are being purchased, first confirm which rules apply; do not apply these thresholds or claim that no threshold applies without verification. [4]

  • Obtain review committee and board approval in accordance with the scope of MEM-002, and prepare the purchase and disposal resolutions, member and shareholder information, business plan and bank account. Where there are open positions, participant withdrawals or minting certificates, complete the specific procedures set out in that checklist as well.[4]
  • Fulfil the obligations under the articles of association regarding the shares and membership rights actually acquired, keep information up to date, and pay the applicable fees. Shareholder interests alone must not be promoted externally as conferring full trading eligibility. If you subsequently acquire further equity in a member company or increase the refiner’s interests, reassess the applicable approval route.[2][4][13]

02 / ENTRY REQUIREMENTS

Entry Conditions and Core Requirements

  • First determine whether the purchase is for ordinary membership of the original trading venue, exchange shares, ordinary membership together with gold-group interests, or the transfer of registered-refiner interests to an existing ordinary member. The official information services differ by category. The contract must clearly specify each right, restriction and whether trading-participant eligibility is included.[2][4][5]
  • The 2025 ordinary membership transfer guidelines and the registered refiner transfer checklist require the transferee to be a Hong Kong-incorporated limited company. Incorporating a company does not itself confer membership. The buyer must also satisfy the financial and personnel requirements, pass document review, and complete the approval and registration process under the applicable checklist. [3][5]
  • A transfer of ordinary membership requires submission of audited financial statements dated within the preceding 3 months, showing paid-up ordinary share capital and net assets of at least HKD 5 million each, and must be submitted annually as required. Assets presented for review may be limited to Hong Kong assets. Company funds and customer funds must be listed separately.[3][4]
  • Liquid capital must be calculated using eligible assets and the applicable valuation percentages; total assets or bank balances cannot simply be copied as the figure. The published list applies different valuation percentages to Hong Kong dollar deposits, foreign currencies, gold and Hang Seng Index constituent stocks. Client money cannot be used to meet the HKD 1.5 million liquid capital requirement.[3][5]
  • Ordinary membership and exchange-share transfer requirements require the ultimate shareholders to provide proof of funds in proportion to their shareholdings, based on the higher of HK$5 million or the issued share capital of the member company, and to submit the relevant continuous 6-month records before the capital contribution. This is a separate document from proof of the target company’s net assets.[3][4]
  • Disclose the direct shareholders, intermediate holding companies and ultimate shareholders on a look-through basis, and provide a declaration of beneficial ownership together with a consistent group structure chart. For trust shareholdings, use the undertaking documents required by the authorities; the relevant checklist does not accept an individual as trustee. Nominee arrangements cannot replace genuine disclosure. [3][4][5]
  • The proposer for an ordinary membership application and the referee consulted for a new executive manager must each meet the requirements specified in the relevant form; they cannot substitute for one another. The industry-entry form requires two directors or supervisors, or one director or supervisor together with two employee executive managers, and excludes the specified related persons.[20]
  • Where gold trading, refining or related intermediary business reaches the transaction thresholds specified by Customs, DPMS registration must be assessed separately. Non-cash transactions of HK$120,000 or more follow the Category A route; proposed specified cash transactions reaching that threshold must be treated under Category B. Membership cannot replace registration.[10]
  • Spot precious metals, including London gold, generally fall outside the SFC’s regulatory scope. However, if gold futures, securities, funds or other financial products are to be launched, licensing must be assessed separately according to their actual legal nature. The use of the word “gold” or exchange membership does not establish that all derivatives business is exempt. [9][11]

03 / PEOPLE & GOVERNANCE

Shareholders, directors and compliance personnel

  • The ordinary membership and exchange share transfer checklist provides for the appointment of no more than two executive managers. They must be company directors, hold Hong Kong identity cards, be at least 18 years old and already have the required registration qualifications. This requirement differs from the SFC responsible officer regime, so the concept of two ROs should not be applied here.[3][4]
  • An executive officer must work full-time for the member or a group company and must not hold a position at another company at the same time. Where an external employment arrangement exists, the person must resign in accordance with the checklist and provide evidence. Before an acquisition, verify the candidate’s actual management time; merely appointing a nominally affiliated person is not sufficient.[3][4]
  • The executive director must submit a signed CV covering the past 7 years, proof of employment and positions held, and academic qualifications, and explain their financial and market knowledge and experience in gold-trading management or administration. Public documents do not support a blanket requirement for a university degree or a uniform 3 to 5 years of experience; check the latest registration requirements.[3][4][19]
  • Each new Executive Manager must prepare two recommendation letters from qualified referees. Referees may be lawyers, accountants, bank managers or qualified industry practitioners specified in the documents, and must meet the non-association requirements. Executive Managers should also set aside time to attend review and approval meetings.[3][4][19]
  • A manager, trader or trading representative appointed by a member must register with the exchange before conducting business in its trading products. Confirm examination, training or exemption requirements against the latest application form. Acquiring company membership does not automatically transfer an employee’s individual registration.[8][18]
  • The official registration scheme page lists 5 hours of continuing professional development for each of the three personnel categories. The application fee and annual fee for a manager are HKD 1,920 each; those for a trader and a business representative are HKD 540 each. Fees and continuing professional development should follow the latest annual notice; registration must not be treated as a one-off task performed only on the completion date.[8][18]
  • The Executive Officer declaration covers matters including criminal and civil matters, bankruptcy, regulatory disciplinary actions and outside appointments. These must be explained truthfully; a no-criminal-record declaration alone is insufficient. Any change to the declared information must be notified in writing immediately. After ceasing to be appointed, the undertakings in the original form require notification and completion of the relevant procedures within 7 days.[19]
  • It is advisable to assign personnel, according to the actual business arrangements, to handle customer due diligence, transaction monitoring, fund reconciliation and complaints, with reciprocal checks in place. If the business is also a DPMS Category B registrant, applicable anti-money laundering responsibilities must also be implemented. Having a single Manager-in-Charge nominally appointed does not complete all compliance requirements.[8][10]

04 / CAPITAL & PREMISES

Capital and business address requirements

Financial resources and sources of funds

The official ordinary membership transfer and refiner transfer checklists both specify issued and fully paid ordinary share capital of at least HKD 5 million and net assets of at least HKD 5 million. They also require prescribed liquid funds of at least HKD 1.5 million, excluding client money. These three amounts are not simply added together to determine the acquisition price; the purchase price, fees and product margin should be budgeted separately. [3][4][5]

Statutory share capital, net assets, liquid capital and other financial resources are not the same concept. Capital is not a government fee or consultancy fee, and must not be conflated with client assets or reserve funds.

Hong Kong Business Address and Substantive Operations

  • Prepare a genuine Hong Kong operating address, valid business registration information, a lease and contact arrangements. The old version of MEF-014 required a separate lease and photographs of the e-business office; do not assume, without verification, that a virtual address is sufficient. The current premises requirements should be confirmed in writing with the exchange membership department. [18][21]
  • The executive officer declaration includes keeping customer account-opening agreements and transaction documents at the member’s Hong Kong office, and supervising the trading system, accounts, and customer funds. Office arrangements should support actual management, record retrieval, and investigations, rather than serving only as a mailing address or a displayed office sign.[19]
  • Client money must be held separately from the company’s own assets. The Exchange states that client funds are held by members, not deposited with the Exchange. The mint transfer checklist also requires at least two bank accounts, one of which must be a settlement account at a designated bank; account-opening arrangements should be checked in advance.[5][9]
  • When acquiring a registered refiner, verify the refinery or contract-manufacturing arrangements, testing equipment, use of marks, batch traceability and handling of non-conforming products. Check the list for each specific approved bar type; a registered refiner certificate alone does not establish that all facilities and products have been approved.[5][7]
  • Storage, escorted transport, security, insurance and inventory arrangements should be reviewed separately in light of inventory levels and contractual responsibilities. Membership is not a blanket permit for factory premises, warehouses or cross-border import and export. The acquisition documents should specify which facilities and outsourced contracts are actually included in the transaction and which must be entered into afresh.[1][5][7]
  • The online trading platform used by clients is not the same system as the platform used between exchange members, and official guidance states that the two are not inherently connected. The selected system should retain evidence of orders, quotations, permissions and reconciliation. Use of any software must not be advertised as obtaining certification for the exchange's system. [9]

05 / APPLICATION DOSSIER

Application Document Checklist

  • The company formation pack includes the Certificate of Incorporation, a valid Business Registration Certificate, articles of association, the latest annual return and name-change documents. Shareholding and directorship details should be cross-checked against the register of members, transfer instruments, allotment documents and director appointment and resignation documents. An annual return alone is not complete proof of the current position. [3][4]
  • The evidence package for the rights should include the originals or verifiable copies of the membership or member certificate, trading participant business licence, registered refiner certificate and recognised delivery bar certificate, and should be returned via the applicable route. The seller must also address outstanding fees, incomplete matters and any applicable arrangements for exiting trading. [3][4][5]
  • The personnel information pack includes identity documents, proof of residential address dated within the last 3 months, signed CVs and evidence of relevant appointments and academic qualifications for executive officers, directors and shareholders. For a new executive officer, also prepare a referee’s recommendation and registration details. Signatures on forms and identity details must match the company resolutions. [3][4][19]
  • The shareholding look-through package includes pre- and post-change structure charts, registration and shareholding documents for each intermediate holding company, and ultimate shareholders’ beneficial ownership declarations. Where companies incorporated in the British Virgin Islands, the Cayman Islands or Bermuda are involved, provide the relevant current officeholder or compliance evidence as required by the checklist; do not submit only a simplified organisation chart.[3][4][5]
  • The financial package includes up-to-date audited financial statements, liquid capital returns, bank statements, gold-storage records or certificates for recognised securities, with client and company funds listed separately. Proof of shareholder funds must include all statement pages for the prescribed period; futures or gold-contract trading slips are not accepted as substitutes.[3][4]
  • The transaction approval package includes board resolutions approving the sale, purchase and appointment of an executive manager, specifying the counterparty and the relevant interests. Ordinary membership uses the nomination, entry and membership information forms. For a refiner or exchange share transfer, use the corresponding forms listed in the respective checklists to avoid mixing up form numbers.[3][4][5]
  • The business and internal-controls package should explain the customer sources, products, projected transaction volumes, settlement fund flows, risk limits and complaints mechanism. The checklists for bullion dealers and transfers of exchange shares require a business plan or MEF-020 and its appendices; any additional materials relating to electronic trading should be prepared in accordance with the latest participation conditions.[4][5][21]
  • Acquisition due diligence should also cover audited accounts, tax matters, bank statements, litigation, customer and supplier contracts, inventory, and settlement records. This is a buyer-side risk review recommendation; it does not mean that the exchange necessarily requires a fixed three years of records, nor should it be promised that the authorities will issue a standard certificate confirming that there are no defects.[3][13]
The document checklist is for preparation and does not represent the competent authority’s final requirements for any case. Do not submit identity cards, passports, customer lists or bank statements through the public consultation form.

06 / APPLICATION ROADMAP

Application process and required time

No official guarantee has been identified that the entire transaction will be completed within a fixed number of weeks or months. The transfer checklist states that meetings are generally held monthly, complete documents must be submitted at least 20 working days before the meeting, and further documents or additional conditions may still be required. After approval, the executing solicitor must attend with the seal within 3 working days to complete the formalities. This arrangement is not a promise of approval within 20 days. [3][4][5]

  1. Step 1: Map out the proposed business activities and rights, distinguish between ordinary membership, exchange shares, electronic trading and smelter status, and assess whether the DPMS or securities and futures regimes may also apply. Identify the rights sought first to avoid acquiring membership that cannot support the planned products.[2][6][10]
  2. Step two is to check the official lists of members and recognised settlement agents, and, with the seller’s authorisation, confirm the interest, restrictions and transfer route with the Membership Department. MEF-016 is only a registration of information about an interest offered for sale; the exchange does not participate in price negotiations or assume responsibility for negotiating this type of transaction.[2][6][7]
  3. Step three is to conduct legal, financial and business due diligence on the target company and the specific interest, and confirm that the company’s shareholding matches official records. For arrears, disciplinary matters, open positions, historical client funds and complaints about bullion quality, set pre-completion remediation conditions or specific indemnity arrangements.[3][4][5]
  4. Step 4: Sign an agreement subject to the applicable approvals as conditions precedent, specifying the rights concerned, allocation of the purchase price, refund terms and long-stop date. The deposit amount and solicitor’s escrow arrangements are subject to contractual negotiation; the official checklist does not require every transaction to pay a deposit of HKD 500,000 or HKD 1,000,000.[2][3][4]
  5. Step 5: Prepare the company, personnel, financial and business documents, then submit the transfer or shareholding-change application in accordance with the relevant route. Complete documentation must be submitted in accordance with the checklist at least 20 working days before the meeting, and the executive officer must attend the review as required. Complete documentation does not guarantee approval.[3][4][5]
  6. Step 6: After receiving formal approval and verifying that all conditions precedent have been met, arrange for the executing manager to attend with the company seal within the stipulated 3 working days and complete the process in accordance with the manager-witness procedure. Release of the purchase price should be based on evidence that the transaction has actually taken effect; do not pay it in full solely on the basis of oral notification or the fact that the matter has been discussed at a meeting.[3][4][5]
  7. Step 7: Complete the relevant updates to share, director and beneficial ownership records, deal with applicable stamp duty, and update bank due diligence, client agreements, trading systems and personnel registrations at the same time. Any required DPMS approval must be completed separately; exchange approval alone does not permit specified transactions to be conducted without registration. [10][15][16][17]
  8. Step 8: Confirm item by item that the relevant trading access, settlement and authorised product permissions have taken effect before commencing the corresponding business. Establish calendars for audits, fund monitoring, fees and continuing professional development. There is no general three-month commencement guarantee period applicable to all acquisitions; the individual approval should be followed. [4][5][8]

07 / ACQUISITION & CHANGES

Acquisitions, Changes to Shareholders and Directors, and Completion

  • A transfer of membership rights, the purchase of shares in Hong Kong Gold Exchange itself, and the acquisition of shares in a company holding membership are different legal subject matters. The first changes the holder of specific rights, while the latter changes ownership of the company. Shares in the Exchange are also not the same as shares in the target member company; each should be defined separately in the agreement. [2][3][4][13]
  • First check the official register for trading statuses such as AA, A1, A2, B and C, as well as the electronic trader and registered refiner marks. D indicates an unexercised trading right; E indicates that the rules or regulatory manual are not fully complied with; and S indicates that trading rights are restricted or suspended. These statuses cannot be treated as normal trading eligibility simply by purchasing the membership. [6]
  • The official application materials list different routes, including membership together with rights in the Gold Group and the acquisition of minting-member rights by an existing ordinary member. The buyer and seller should confirm in writing whether shares, trading participation or recognised transfer of clearing and settlement rights are included. Referring only to a “gold licence” is insufficient to establish the rights the buyer will actually obtain.[2][4][5]
  • The 2025 ordinary membership and exchange share transfer checklist states an ordinary member fee of HKD 110,000 and a fee of HKD 165,000 for a Gold Group or registered mint member, plus an advance payment of monthly fees of HKD 3,000. The two fee tiers are not automatically cumulative, and they are not the negotiated transaction price for the rights between buyer and seller.[3][4]
  • For a standalone transfer of a minting licence, the transfer checklist separately specifies a transferee fee of HKD 55,000; fees paid are non-refundable whether or not the application succeeds. The transferor must pay an HKD 500,000 undertaking deposit for one year. It is refunded only after the conditions concerning objections and complaints about gold bars, among others, are met; an automatic refund on expiry must not be promised. [5]
  • For a shareholding change in a company holding membership, the 2025 guidelines list review and processing fees of HKD 33,000 or HKD 110,000, depending on the route. These should not be mechanically added to direct membership transfer fees. Confirm the applicable thresholds, payment stages, exchange share requirements and refiner procedures through an official fee confirmation before submission. [13]
  • The acquisition budget should distinguish the consideration payable to the seller, paid-up capital and net asset requirements, liquid capital, product deposits, exchange fees and professional service fees. For Hong Kong stock transactions, also check stamp duty: for ordinary contract notes, both the buyer and seller are currently taxed at 0.1% of the consideration or value, with other instruments treated according to their nature. [17]
  • Due diligence must examine historical shortfalls in customer funds, tax matters, litigation, ownership of gold inventory, pledges and open positions. Seller warranties and indemnities in the agreement can help allocate risk, but cannot bind a bank, exchange, customs authority or former creditor to a risk-separation arrangement made without its consent. [3][4][13]
  • Before completion, obtain the bank’s requirements for handling changes in control and signatories, and verify any transfer restrictions in client, settlement, storage and system contracts. The existence of a bank account does not mean that post-acquisition payments and receipts will necessarily continue, credit facilities will be retained, or renewed due diligence will be unnecessary. It should not be presented as an unconditional selling point. [4][5]
  • The official membership information service is not an endorsement by the exchange of any seller, asking price or investment value. Until verifiable authorization and up-to-date confirmation have been obtained, do not advertise that several memberships are currently available for sale, guarantee approval, or promise a particular return. Fees for advisory services and any refund commitments should be set out separately in writing. [2][9]

Shareholders, Directors and Other Material Changes

  • The 2025 shareholding change guidelines of the original trading venue expressly cover member companies and their ultimate holding companies. A change that results in a single shareholder holding 10% to 50% must first obtain a no-objection from the review panel, then submit the full set of required documents and undergo final approval. Company secretarial procedures alone are not sufficient. [13]
  • Under this shareholding-change guideline, a transfer of membership applies where a single shareholder holds more than 50%, subject to a separate exception relating to listed companies. Applicants should first verify the group structure and applicable version of the guideline. Staged share transfers, an acquisition of an upper-tier company or nominee holdings must not be treated as methods of circumventing approval.[13]
  • Published guidance requires the relevant application documents to be submitted within two months after the no-objection is granted, with the formalities completed within the applicable timeframe after approval. This two-month period is a document-processing condition, not a guarantee that the entire acquisition will be approved. Written guidance should also be obtained in advance if changes to voting rights, trusts or control arrangements are proposed.[13]
  • Changes to executive managers, the company name and shareholdings at different levels each have corresponding update application items and must be handled using the applicable forms and approvals. Changes to personnel responsibilities, contacts or reported information may also require immediate notification; do not wait until the annual return to update the exchange.[13][18][19]
  • If the target is also a DPMS Category B registrant, new directors, partners or ultimate owners are subject to a separate Customs approval process; there are also specific notification forms for changes to other registration details. Exchange membership approval and Customs procedures cannot substitute for one another and should be listed separately in the transaction conditions schedule.[10]
  • The appointment or cessation of a director must be notified to the Companies Registry by filing ND2A within 15 days. Use ND2B for changes to a director’s particulars. A transfer of existing shares generally does not require an immediate specified transfer form to be filed with the Companies Registry, but the company’s records should be updated and the transfer reflected in the first annual return after the transfer. [15][16]

08 / ONGOING COMPLIANCE

Post-approval maintenance and ongoing responsibilities

  • Continue to maintain capital, net assets and liquid funds in accordance with applicable membership and product rules, and submit audited financial statements on time. Monitor the effects of operating losses, shareholder withdrawals and asset write-downs. Meeting the HKD 5 million net asset requirement at completion does not mean that no further review will be needed over time.[3][4][5]
  • Manage member monthly fees, personnel annual fees, trading systems and product margin deposits separately. The 2025 transfer checklist lists a prepayment of one month’s member fee of HKD 3,000, but this does not establish that all product fees are included. Actual renewal fees and margin deposits are subject to the formal notice in force at the time. [3][4][8]
  • Maintain the registration of responsible officers, traders and business representatives, and complete the applicable 5 hours of continuous professional training. Keep evidence and handle renewals, re-registration or cancellation using the current forms. Arrange a handover before key personnel leave to avoid a situation in which the people actually operating the business are not currently registered after an acquisition. [8][18]
  • Client assets and members’ own funds should be held separately, with reconciliations of transactions, client balances, bank accounts and physical inventory. The Exchange’s official explanation states that it has no arrangement to advance funds to clients. Therefore, clients must not be told that membership is equivalent to deposit protection or that the Exchange will provide backstop compensation.[9][19]
  • Registered refiners should continuously verify the specifications, brand marks, and quality controls for recognised gold or silver bars, and retain evidence of batches, testing, and delivery. Before changing the production location, outsourcing arrangements, or control, confirm whether the change affects eligibility. Past recognition must not be assumed to apply permanently to new products.[5][7]
  • Comply with DPMS and other applicable anti-money laundering requirements according to the actual transaction model, retain complete transaction and due diligence evidence, and deal with unusual funds promptly. Customs registration is a separate regime. If cash business expands, reassess whether Category A remains sufficient; membership status cannot replace an assessment of the appropriate registration category.[10]
  • Retain company resolutions, share transfer instruments, financial records, client agreements and business records for the periods specified under the relevant laws and rules. Different records do not all have the same retention period; an adviser’s customary seven-year retention period must not be presented as a uniform mandatory standard for all exchange records.[3][9][19]
  • Promotional materials should be checked regularly against each member’s legal name, number, business status and scope of recognised products. Remove statements suggesting capital protection, fixed returns or government or bank endorsement. Categories such as AA indicate business status, not an investment-safety rating. Websites and sales materials must be updated when a member’s status changes.[6][9][12]

09 / FREQUENTLY ASKED

Frequently asked questions

01Is membership in the Chinese Gold and Silver Exchange necessary for all gold dealers as a government licence?+

No. The exchange’s official explanation states that there is no legislation requiring every Hong Kong or Mainland spot-gold company to join as a member. However, that explanation must be read alongside the subsequently applicable Customs DPMS regime. A Hong Kong business meeting the specified transaction threshold must still register in accordance with the law; this does not mean the gold industry is entirely unregulated.[9][10]

02Does ordinary membership automatically include electronic trader status and registered refiner rights?+

This cannot be inferred. Official directories list operating status, e-traders and registered refiners separately, while application guidance separately identifies gold-group and refiner interests. Before an acquisition, verify the certificates, directories and scope of approval. Do not infer that all additional qualifications are in place merely from ordinary membership or the AA name.[2][6][7]

03What is the minimum capital a buyer needs to prepare? Is payment of only the membership sale price sufficient?+

The public transfer list requires paid-up ordinary share capital and net assets of at least HKD 5 million each, as well as HKD 1.5 million in prescribed liquid funds and proof of shareholder funding. These are not equivalent to the price of membership rights, nor are they three costs that must necessarily be added together. They should be assessed separately with reference to eligible assets, liabilities and business security deposits. [3][4][5]

04Can the exchange guarantee approval within three months?+

No official guarantee of an overall approval timeline has been found. The published requirements state that meetings are generally held monthly and complete materials must be submitted at least 20 business days in advance; further information or additional conditions may be requested. A consultant’s estimate of 3 to 6 months or 5 to 10 weeks can only be a project estimate and should not be presented as an exchange commitment. [3][4][5]

05Do registered refiners have a monopoly on gold refining in Hong Kong and global delivery eligibility?+

This must not be advertised in those terms. The official recognised list specifies entities and particular deliverable-bar specifications, demonstrating the scope recognised within the relevant exchange system. This status does not automatically confer exclusive refining rights throughout Hong Kong, access to other markets, Mainland import permits or international deliverable recognition for all products.[5][7][10]

06Is the HKD 500,000 for purchasing registered refiner rights payable by the buyer and automatically refunded after one year?+

The official mint transfer checklist places the HKD 500,000 security deposit under the transferor’s responsibilities. It is held for one year and refunded only after the applicable objection, gold bar complaint and rule-related conditions have been satisfied. The transferee has separate fees listed in the checklist. The parties may allocate the economic cost by contract, but cannot alter the allocation of responsibilities under the official checklist. [5]

07When acquiring all the shares in a member company, is a share transfer filing with the Companies Registry all that is required?+

No. The former Gold and Silver Exchange Society’s shareholding-change guidelines provide that prior non-objection and subsequent approval are required when the relevant shareholding threshold is reached. A single shareholder holding more than 50% is treated as a transfer of membership, subject to exceptions that should be checked. Company registration, exchange review and any applicable Customs approval are separate procedures and cannot substitute for one another.[13][15][16]

08Must the executive manager be a Hong Kong permanent resident, or can an external part-time nominee be engaged?+

The transfer checklist reviewed states that the person must hold a Hong Kong identity card, be at least 18 years old and be a company director; it does not state that permanent residency is universally required. However, the person must work full-time for that member or a group entity and may not concurrently work for another company. Registration and fitness and competence reviews must also be satisfied; part-time nominal appointments should not be arranged.[3][4]

09Does having membership mean I do not need to apply for Customs DPMS registration?+

No. Membership and DPMS registration separately address exchange eligibility and statutory registration. If you conduct the relevant business in Hong Kong and carry out a non-cash transaction of HKD 120,000 or more, assess the Class A requirements. If you intend to conduct a specified cash transaction that meets the threshold, consider Class B registration and obtain the required registration before conducting the transaction. [10]

10Is the London gold business comprehensively regulated by both the SFC and the HKMA?+

The SFC states that spot precious metals trading, including London Gold, is outside its regulatory remit, and the HKMA also expressly states that London Gold and related investment activities are outside its regulatory remit. Gold futures, securities or fund activities must be analysed separately according to the substance of the products; membership should not be described as a licence jointly issued by the two authorities.[11][12]

11Are client funds held by the Exchange, and would the Exchange compensate clients first if a problem occurs?+

Official guidance states that client money is held by members, not deposited with the exchange, and must be kept separate from members’ own assets; the exchange currently has no advance-payment arrangement. Clients remain exposed to counterparty and operational risks. Membership or a trading code must not be promoted as capital protection, a government guarantee or deposit compensation insurance.[9]

12Can a trading code prove that every client transaction is matched directly on an exchange?+

No. Official guidance states that codes may arise from platform transactions between members or be obtained by registering transactions with the Exchange after a member trades with a client. In the latter case, the Exchange primarily checks whether the declared price falls within the prevailing market-price range. It does not verify the truth of all information or participate in settling funds for the client transaction.[9]

13Can membership currently only be obtained through an acquisition, and can you guarantee that there are sellers in the market?+

Official public channels provide information services concerning membership and share transfers, but the page alone does not establish that all new applications are permanently closed, nor can it confirm the current number of sellers. Verify the current policy with the Membership Department and obtain valid sale authorization from the seller. Do not use scarcity as a guarantee of a transaction. [2]

14Must you use MT4, MT5 or a specified client trading platform?+

The exchange's official guidance does not prescribe the online platform used by members and clients, and the client platform is different from the platform used between members. Choosing software does not amount to obtaining a licence. Actual operating arrangements, including business authorisation, retention of quotation records, access controls, settlement reconciliation and information security, should still be verified. [9]

15The materials were explained and compiled by Tang Shangyong (Drew); can official sources be rewritten as original consultant content?+

Explanatory text may be attributed to Tang Shangyong (Drew) of Rengangyongsheng (Hong Kong) Limited, but official provisions, forms, fees and regulatory interpretations should retain the institution’s name and original links. Clearly distinguish a consultant’s structuring or due diligence recommendations; do not present them as official commitments or proprietary regulatory standards.
